Welcome to Translations for Progress, an online community that facilitates communication within the global grassroots community and encourages the involvement of language students and professionals in social issues. The Translations for Progress web site (the Translations web site) provides information about us and certain topics we feel you may find of interest. While we anticipate you will find this information useful, please note that your actual use of the Translations web site and that information is limited in important ways. These limitations appear in this document, our terms and conditions of use (Agreement). Please read them carefully. By accessing and using the Translations web site, we will deem you to have accepted the terms of this Agreement without modification. If you do not accept them, we do not grant you permission to use the Translations web site.

This site includes a database (the Database) containing information about (i) nonprofit and community organizations from around the world, and (ii) volunteers who have experience in a variety of foreign languages. The Database is available to anyone who registers as a member (Member) of Translations and who accepts the terms of this Agreement.

This Agreement will remain in full force and effect while you use the Translations web site and/or are a Member. You may terminate your membership at any time for any reason. Translations for Progress may terminate your membership at any time for any reason. Even after membership is terminated, this Agreement will remain in effect.

Subject to the terms and conditions of this Agreement, Translations for Progress, Inc. (d/b/a Translations for Progress) (Translations) grants you limited, non-exclusive permission to only (a) manually search and view information available through the Translations web site and (b) download and make limited printouts of the information you view for your personal use only.

Your permission is limited in a number of ways. You may not use the information available on the Translations web site for any commercial purpose. You may not systematically access or download information available through the Translations web site. You may not redistribute, retransmit, publish, or republish any material on or downloaded from the Translations web site without written permission from us or our licensors. Your permission to use and access the web site will terminate immediately, without any further action by Translations, if you breach any terms or conditions of this Agreement.

Translations is the owner or licensee of all rights in the Translations web site, its content, software, and services. You have no right in such content, software or services not expressly granted in this Agreement. Translations and the logos or other proprietary marks of Translations licensors or partners are trademarks of Translations or its licensors or partners. No right, title or interest in those trademarks is granted to you in this Agreement.

In exercising the limited rights granted you under this Agreement, you agree to not:

1. Use the Translations web site to conduct activities that violate applicable law;
2. Intercept or attempt to intercept email or other private communications not intended for you;
3. Delete or change any material posted or provided on the Translations web site;
4. Link to or frame all or part of the Translations web site without the written permission of Translations;
5. Change or delete any proprietary notices from materials downloaded or printed out from the Translations web site;
6. Distribute, if permitted, any materials downloaded or printed out from the Translations web site without attribution to Translations;
7. Systemically download or print out materials from the Translations web site;
8. Systemically upload files or data that contain a virus or corrupted data;
9. Transmit or provide any data from the Translations web site to a third party;
10. Disrupt the availability of the Translations web site to others; and
11. Use the Translations web site in a manner contrary to any law.

We make no representations about the accuracy, completeness, suitability or timeliness of the materials and information provided on the Translations web site. Information changes rapidly, and you should thus not rely on this web site as comprehensive or error-free. Translations is not responsible for any incorrect or inaccurate information available through the Translations web site, including the Database, whether caused by users of the Translations web site, Members or by any of the equipment or programming associated with or utilized by the Translations web site. Further, Translations is not responsible for the accuracy of any translations which result through the Database or Translations web site.

THEREFORE, THE TRANSLATIONS WEB SITE AND ALL SERVICES PROVIDED THROUGH IT ARE PROVIDED AS IS, AS AVAILABLE AND WITH ALL FAULTS. TRANSLATIONS MAKES NO, AND HEREBY DISCLAIMS ANY, WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TRANSLATIONS ALSO DISCLAIMS ANY WARRANTY THAT THE TRANSLATIONS WEB SITE WILL BE AVAILABLE AT ALL TIMES OR OPERATE ERROR FREE.

FURTHER, TRANSLATIONS AND ITS LICENSORS MAKE NO WARRANTY AS TO THE RELIABILITY, ACCURACY, TIMELINESS, USEFULNESS, ADEQUACY, COMPLETENESS OR SUITABILITY OF THE SERVICES OR INFORMATION PROVIDED ON OR THROUGH THE TRANSLATION WEB SITE.

YOU AGREE THAT THESE LIMITATIONS ARE REASONABLE CONSIDERATION IN EXCHANGE FOR PROVIDING YOU ACCESS TO THE WEBSITE.

You agree to be solely responsible for your use of the Translations web site, and agree to indemnify, defend, and hold harmless Translations, its employees, agents, and licensors from any claim arising out of or related to your use of the Translations web site.

TRANSLATIONS, ITS EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES YOU MAY SUFFER OR CAUSE THROUGH YOUR USE OF THE TRANSLATIONS WEB SITE, EVEN IF TRANSLATIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRANSLATIONS, ITS EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTIAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THIS WEB SITE. IN NO EVENT SHALL THE TOTAL LIABILITY OF TRANSLATIONS, ITS EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS TO YOU EXCEED $10.00.

You are solely responsible for your interactions with other Translations Members. Translations reserves the right, but has no obligation, to monitor disputes between you and other Members.

The Translations web site may include links to web sites or web pages operated by third parties, or other web sites or web pages may link to the Translations web site or to specific pages within the web site. Translations does not monitor, filter, edit, or censor the materials or information appearing on these other web sites or web pages. Translations assumes no liability or responsibility for these other web sites or web pages or their content. Any link to or from a third-party web site or web page is not an endorsement of that web site or web page by Translations.

There is no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship between Translations and any User of the Service.

You agree that this Agreement and any dispute arising out of or related to this Agreement or your use of the Translations web site shall be governed by the laws of the Commonwealth of Massachusetts, United States of America, without regard to any choice-of-law provision that may cause the laws of any other jurisdiction to be applied.

You agree that you will submit to arbitration by the American Arbitration Association any controversy or claim arising under or related to this Agreement you may have. The location of any such arbitration shall be Boston, Massachusetts, United States of America. Any court having jurisdiction over the matter may enter a judgment upon the award of the arbitrator. You agree that Translations need not arbitrate any claim for equitable relief it may have against you.

You agree that the state or federal courts located in Boston, Massachusetts, United States of America, shall have exclusive jurisdiction and venue over any action arising out of or relating to this Agreement or your use of the Translations web site. You waive any claim that a court located in Boston, Massachusetts lacks personal jurisdiction over you, is an improper venue, or is an inconvenient forum. You must bring any action you have against Translations within one year after the cause of action arises.

The terms of this Agreement are severable to the extent any term is deemed invalid, illegal, or unenforceable. Translations failure to enforce any provision of this Agreement shall not be deemed a waiver of that or any other provisions of this Agreement.

This Agreement is effective as of the date you first access any web page on the Translations web site. Translations may modify this Agreement at any time. Any modifications to this Agreement will be effective immediately the next time you access the Translations web site after any amended agreement is posted, so please review this Agreement each time you access the web site. Your continuing to access Translations web site constitutes your acceptance of any modification to this Agreement in effect at the time of your access. No modification or attempted modification of this Agreement by you shall be binding on Translations.

The terms of this Agreement constitute the entire and only understanding between you and Translations regarding the Translations web site. In the event of any conflict between this Agreement and any policy or statement regarding your use of the Translations web site, the terms of this Agreement shall govern.

Notices sent to you by Translations in connection with this Agreement may be delivered to you by electronic mail, a general notice on the Translations web site, or by written communication delivered by first class U. S. mail. You may give notice to Translations at any time by letter delivered by first class postage prepaid U. S. mail or overnight courier to the following address:

Those provisions of this Agreement that normally would survive the termination of the Agreement shall survive any termination of the Agreement.
